Agreement

By accessing and using the WebFxNow website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

1. Service Description

WebFxNow provides professional web development services, including but not limited to:

• Custom website design and development
• E-commerce platform development
• Mobile application development
• Website maintenance and updates
• Technical consulting
• Performance optimization
• SEO and digital marketing integration

2. Payment Terms

2.1 Fees and Invoicing

• Fees are as quoted in your project proposal
• We accept payment via bank transfer, credit card, and digital payment methods
• Invoices are issued according to project milestones or monthly retainers
• GST/HST will be added where applicable in Canada

2.2 Payment Schedule

• Deposit: 50% due upon project commencement
• Milestone Payments: Due upon completion of development phases
• Final Payment: Due upon project completion and delivery

2.3 Late Payment

• Invoices are due within 30 days of issuance
• Late payments may incur a 1.5% monthly interest charge
• Continued non-payment may result in suspension of services

3. Intellectual Property Rights

3.1 Custom Work Ownership

Upon full payment, you own all custom-developed code and design elements created specifically for your project.

3.2 Third-Party Components

You agree to comply with licenses for any third-party libraries, frameworks, or services integrated into your website.

3.3 Pre-Existing IP

We retain ownership of pre-existing tools, templates, frameworks, and knowledge developed prior to your project.

4. Project Timeline and Delivery

4.1 Estimated Timeline

Project timelines are estimates based on initial specifications. Actual timelines may vary due to scope changes, client feedback delays, or technical challenges.

4.2 Scope Changes

Any changes to the original project scope may result in additional costs and timeline adjustments. We will notify you and obtain written approval before proceeding with out-of-scope work.

5. Warranties and Disclaimers

5.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner according to industry standards.

5.2 Third-Party Services

We are not responsible for:

• Downtime or issues with your hosting provider
• Failures of third-party APIs or integrations beyond our control
• Browser compatibility issues caused by browser updates
• Search engine ranking or SEO performance
• Security breaches due to your negligence or weak credentials

5.3 Limitation of Liability

Our total liability to you shall not exceed the total fees paid for the project in question.

6. Confidentiality

Both parties agree to keep project details and business information confidential and not disclose sensitive information to third parties without consent.

We may use completed projects as portfolio examples (anonymously if requested) to showcase our work to potential clients.

7. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

8. Termination

8.1 Termination by Client

You may terminate services by providing written notice. Fees paid are non-refundable except as outlined in our Refund Policy.

8.2 Termination by WebFxNow

We may terminate services if payments are 30 days overdue, you breach these terms, or you engage in illegal or unethical behavior.
